Terms of Service

By accessing and using the Clarity Inventory System (the "Service"), provided by Neolite Development ("we," "us"), you agree to be bound by these Terms. If you do not agree, please do not use the Service.

The "Clarity Inventory System" is a managed inventory data platform. Our services include:

• The Platform: Access to our hosted inventory management interface.
• Managed Onboarding: Data migration, cleaning, and setup services (the "Setup").
• Ongoing Support: Configuration changes and maintenance as defined in your subscription tier.

Alpha Cohort: Admission to the Alpha Cohort is limited. We reserve the right to accept or decline applicants at our sole discretion based on technical fit.

Your Data: You retain full ownership of all business data (SKUs, customer lists, sales history) you upload to the Service.

Our Platform (The License): Neolite Development retains all rights, title, and interest in the Clarity Inventory System, including its code, design, workflows, and underlying architecture.

Upon payment of fees, we grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business operations. This is not a "work for hire" agreement; you do not own the software code.

Setup Fees: One-time setup fees are due prior to the start of the migration process.

Subscription Fees: Monthly subscription fees ($497/mo) are billed in advance on a recurring basis.

Cancellation: You may cancel your subscription at any time with 30 days' written notice. Upon cancellation, you will have 30 days to export your data before your access is terminated.

Refund Policy:

• 30-Day Guarantee: For the Clarity Inventory System, we offer a "Love It or Leave It" guarantee. If you are unsatisfied within the first 30 days of service, you are eligible for a full refund of your setup fee and first month's subscription.
• After 30 Days: No refunds are provided for partial months or past services.

Estimations: Any financial estimates or "cost of inaction" calculations provided by our tools are for illustrative purposes only and do not guarantee actual savings.

Liability Cap: To the maximum extent permitted by law, Neolite Development's total liability for any claim shall not exceed the amount you paid to us in the 3 months preceding the claim.

No Warranty: The Service is provided "as is." We do not warrant that the Service will be uninterrupted or error-free.

These Terms shall be governed and construed in accordance with the laws of the Province of Alberta, Canada. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Calgary, Alberta.
